1.1 These terms and conditions set out the basis upon which TA2 will deal with your order.
1.2 No variation will be accepted without the express written authority of TA2.
2 The Briefing
2.1 All design jobs must have a full briefing from the customer. Instructions will only be taken from one representative of the customer.
2.2 TA2 accept no liability for inadequate or inaccurate briefing.
3 The Estimate
3.1 TA2 will do its best to ensure that the estimate is a genuine reflection of the work being considered. However, it is not a quotation. TA2 will advise you if it appears that the estimate is likely to be exceeded as soon as it becomes apparent.
3.2 Matters which may increase the estimate include the following:
a Unforeseen increases in materials and services to be provided by third parties.
b Delay caused by failure of the customer to provide appropriate information to enable timely completion, preparation and delivery of the requested design work.
c Unforeseen additional work at the request of the customer.
d Change or alterations, design, quality or specification and production details by the customer.
e Correction of errors made by the customer.
4 The Price
4.1 The price is exclusive of Value Added Tax.
4.2 You will be liable to pay a non-refundable deposit before the commencement of the work.
4.3 TA2 may require stage payments. In the event of non-payment of stage payments TA2 reserves the right to cease work.
4.4 The final installment will be payable on completion.
4.5 Interest will be charged on late payment (accruing on a daily basis) at the rate of 2% above the base rate as indicated by Lloyds TSB bank plc.
4.6 The title in the design work will not pass until payment is received in full.
5.1 All copy must be supplied in Microsoft Word format. If the customer wishes to use a particular font this must be supplied to TA2.
5.2 The customer must provide all images as high resolution jpg or tif files at a minimum of 300dpi. All logos must be supplied as Illustrator EPS (vector) files. TA2 will not be held responsible for images supplied at the incorrect resolution and/or file format.
5.3 The colour of transparencies and in-house colour print out or image supplied on CD and that of the finished design work may differ.
5.4 TA2 will, prior to printing, send the customer black and white or colour proof(s) of artwork, as agreed. The customer must signify in writing its approval or, as the case may be, any amendment to the proof(s). Such approval means that the customer accepts the proof as approved or amended and TA2 shall in no way be responsible for any errors or omissions in the proof that are not brought to its attention irrespective of blame. All amendments are chargeable to the customer as customer’s corrections.
5.5 In the event that the customer provides artwork it will be deemed to be correct. No proof or amendment will be required unless expressly requested in writing by the customer.
5.6 Should it be necessary for TA2 to use the services of any third party on the instructions of the customer, TA2 cannot be held responsible for negligence or failure to perform by that third party.
5.7 All materials or other work used in the production may be destroyed immediately after delivery of the design work unless the customer gives written instructions to the contrary. There may be an additional charge for returning or preserving the same.
5.8 TA2 shall be indemnified by the customer in respect of any claim, cost and expense arising out of any libellous matter or any infringement of copyright, patent, design or of any other proprietary or personal rights contained in any material printed for the customer.
6.1 TA2 are happy to suggest a list of available printers. However, it will not be held responsible for quality of print or stock or paper or delivery of any job by the printers.
6.2 Reproduction of particular colour cannot be guaranteed nor can precise dimensions.
7 Customer’s Property
7.1 All property the customer provides to TA2 in connection with any work to be undertaken by TA2 shall be entirely at the customer’s own risk and TA2 shall in no way be or become liable for any loss or damage to it.
7.2 It is assumed that all the customer’s property is insured by the customer.
7.3 The customer shall be liable for any physical loss or damage and consequential loss arising following accidents or damage caused by any goods supplied or actions undertaken by the customer.
8.1 Delivery shall take place at TA2’s premises unless agreed otherwise.
8.2 Times stated for delivery are a bona fide estimate only. Delivery schedules should be confirmed at a time near to completion.
9 Force Majeure and Limitation of Liability
9.1 TA2 shall be under no liability if it is unable to fulfil a contract due to any reason beyond its control.
9.2 TA2 will not have any liability in excess of the contract price.
10 Intellectual Property Rights
10.1 TA2 reserves all rights until payment is received in full.
10.2 TA2 retains the right in all cases to use the design work in any manner at any time for the purpose of advertising or otherwise promoting its work unless expressly requested in writing not to do so by the customer.
